Terms of Service

These Terms of Service ("Terms") are an agreement between you and Wayuup LLC, a Florida limited liability company ("Wayuup", "we", "us"). MyAndén is a brand of Wayuup LLC under which we provide the service: the contracting party, and the party that issues invoices, is always Wayuup LLC. They govern your use of myanden.com and, if you are an operator, your use of the MyAndén platform.

1. About these Terms

Sections 1 to 4, 14 to 17, 21, 22 and 24 to 27 apply to everyone who visits myanden.com. The rest of these Terms also apply to businesses that use the MyAndén platform ("Operators"). An Operator's subscription is also governed by its Order Form and by the documents the Order Form incorporates, such as the Commission Schedule and the Data Processing Addendum. Together with these Terms, these make up the "Agreement".

Businesses joining our partner network (tours, attractions, hotels, restaurants) are governed by a separate partner agreement. These Terms apply to their use of the website.

2. Definitions

  • "Platform": the MyAndén software, including the operator panel, driver links, trip emails, commission ledger and related tools.
  • "Operator Site": the public website MyAndén builds and hosts for an Operator on the Operator's domain.
  • "Order Form": the document, signed electronically or accepted online, that identifies the Operator, the plan, the dates and any fees.
  • "Go-Live Date": the date the Operator Site is first published on the Operator's domain, as recorded in the panel or confirmed by email.
  • "Operator Data": all data the Operator or its users, drivers or passengers submit to or generate in the Platform or the Operator Site. This includes customer lists, passenger and driver information, bookings, rates and booking history.
  • "Operator Content": the Operator's names, logos, trademarks, photos, fares, descriptions and other materials the Operator provides.
  • "Site Content": the text and page content that MyAndén writes specifically for an Operator Site.
  • "Commission Schedule": the separate document that sets out how partner commissions are tracked, credited, offset and paid.

3. Acceptance

By using myanden.com you agree to the parts of these Terms that apply to website visitors. If you do not agree, please do not use the site.

Operators accept the Agreement either (a) by electronically signing an Order Form that incorporates these Terms, or (b) by ticking an unchecked box stating that they have read and accept these Terms, the Privacy Policy and the other incorporated documents, and then clicking to continue. Simply visiting a page or continuing to browse is never treated as acceptance by an Operator. The person accepting confirms that they are at least 18 years old and authorised to bind the Operator. We keep a record of each acceptance: the document version, the date and time, the IP address, the browser, and the account or signature ID. Electronic signatures and records have the same effect as written ones under the U.S. ESIGN Act and Florida's Uniform Electronic Transaction Act.

4. Using the website

You may use myanden.com for lawful purposes, to learn about MyAndén and to contact us. You may not: copy or scrape the site for commercial use; interfere with its security or operation; submit false or someone else's information through our forms; or use the site to send spam or malicious code.

The estimates shown on the site, including the commission calculator, are illustrations based on a model and the numbers you enter. They are not measured averages, promises or guarantees of results.

5. The MyAndén platform

MyAndén provides software and websites. MyAndén is not a transportation provider, motor carrier, broker, travel agent, tour operator or payment processor. We do not provide, arrange or control transportation, and we do not set the Operator's fares. Passengers contract with the Operator, and partners' services are provided by the partners.

Features marked "Soon" or described as planned are not part of the subscription until we make them available. We may improve and change the Platform. If a change materially reduces core functionality the Operator relies on, the Operator may cancel under Section 8.

Additional services, such as setting up and running social media advertising, are provided only under a separate written statement of work, with their own fees. Advertising budgets are paid by the Operator.

6. Accounts and security

Operators are responsible for their users' accounts and for keeping credentials confidential. Operators must use the strongest sign-in options we offer, keep user lists current, and tell us promptly about any unauthorised use. Driver links give access to a driver's own trips without a password. The Operator must share each link only with the driver it is for, and revoke it when that driver leaves or the link may have been exposed.

7. Plans, fees and the 2026 rate

Unless the Order Form says otherwise, the following terms apply:

  • Setup fee: $0.
  • Plans and monthly fee: Básico $49, Intermedio $129 and Ultra $249 per month, in US dollars. Each plan includes a number of vans, panel seats and address searches, as described on myanden.com at the time of subscription and recorded in the Order Form.
  • No per-trip charge and no margin on collections: the fee does not depend on how many trips the Operator runs, and MyAndén does not hold back or deduct any percentage of the money a passenger pays the Operator.
  • Address searches included: each plan includes a monthly quota of address searches in the Operator Site's search field. The Operator may buy additional packs of 5,000 searches at the price applicable to its plan. Unused quota does not carry over from one month to the next.
  • If the quota runs out: address autocomplete switches off until the next cycle or until the Operator buys a pack, and the address field becomes free text. Bookings continue to come in as normal, and no automatic charge is generated for exceeding the quota.
  • 2026 rate: Operators admitted within the ten places on this rate receive their first month free of charge and a 25% discount on their plan's fee for the first twelve (12) months. From month thirteen, the then-current list price of the subscribed plan applies. The Order Form states whether the Operator has this rate.
  • Price changes: MyAndén may change its list prices on at least 30 days' written notice. An increase does not apply to the Operator while the 2026 rate discount period lasts. If the Operator does not accept an increase, it may cancel under Section 8 before the increase takes effect, with no penalty.
  • Paying the fee from commission credit: the Operator's confirmed commission credit (Section 9) is applied to its monthly fee from the first invoice. The invoice is issued on the day the subscription began, for the full fee; the confirmed balance is applied as a payment against it, and MyAndén charges the difference that same day to the payment method the Operator has authorised. If the charge does not go through, MyAndén retries and notifies the Operator; suspension for non-payment is governed by Section 18.
  • Nothing is charged without notice: MyAndén will not charge any payment card or account on a recurring basis unless the Operator has separately authorised it, and will never charge for exceeding the search quota unless the Operator buys the pack.
  • Who invoices: invoices and charges are issued by Wayuup LLC, not MyAndén. Wayuup LLC is what appears on the Operator's bank or card statement.
  • Taxes: fees exclude taxes, which the Operator pays where applicable.

8. Term and cancellation

The Agreement starts when the Operator accepts it and continues month to month.

No minimum term. Either party may cancel at any time by giving 30 days' written notice (email to the addresses in Section 27 is enough). There is no minimum term, no penalty and no cancellation charge. The Operator keeps its domain, its data, its content and the Operator Site under Sections 10, 11 and 19, however long it has been with us.

The current month's fee is not pro-rated or refunded; the service continues to the end of the notice period.

Either party may also terminate immediately by written notice if the other party materially breaches the Agreement and does not cure the breach within 15 days of being notified, or if the other party becomes insolvent or stops doing business.

9. Partner commissions and credit

  • Split: commissions earned from partner networks and partners that MyAndén brings ("MyAndén-sourced") are split 50/50 between MyAndén and the Operator. For partner deals the Operator already has or arranges itself ("Operator-sourced"), the Operator keeps 100% of the commission. MyAndén only displays and tracks those links.
  • Commission Schedule: the details are governed by the Commission Schedule. These include attribution, currency, statements, the pending period, the minimum payout, payout dates and what happens to the balance on termination.
  • Pending and confirmed: commissions appear as pending and become confirmed only after the partner's cancellation window (60 days, or as stated in the Commission Schedule) and after MyAndén has actually received payment from the partner or network. Only confirmed credit can be used or paid out.
  • Clawbacks: if a partner or network reverses, cancels or refuses a commission, MyAndén may reverse the related credit, or deduct it from future credit or payouts.
  • Use of credit and payouts: the Operator's confirmed credit is applied to its monthly fee first, from the first invoice. Any surplus is paid to the Operator once the confirmed balance exceeds $100, on the schedule in the Commission Schedule.
  • On termination: MyAndén will pay the Operator its remaining confirmed balance within 60 days after termination, regardless of the minimum payout amount, as set out in the Commission Schedule.
  • Tax forms: before receiving any payout, the Operator must provide a valid IRS Form W-9 (U.S. operators) or the applicable Form W-8 (non-U.S. operators). MyAndén will issue information returns (such as Form 1099) where required and may withhold where the law requires it.
  • No guarantee: commissions depend on traveller behaviour and on third-party partners and networks, whose programmes and rates can change or end. MyAndén does not guarantee any level of commissions.
  • Integrity: the Operator must not remove, alter or bypass tracking on partner links, click its own links to generate commissions, or otherwise act against partner or network rules.

10. Operator Data, domain and export

  • Operator Data always belongs to the Operator. This includes its customer list and booking history, at all times and from day one. The Operator grants MyAndén a limited licence to host, process and display Operator Data only to provide and support the services and as the Operator instructs. MyAndén will not sell Operator Data or give it to other operators.
  • Export: the Operator can export its Operator Data at any time in a commonly used format (such as CSV or JSON), from the panel or on request.
  • Domain and online listings: the Operator's domain and its Google Business Profile and similar listings stay registered in the Operator's name. MyAndén acts only through access the Operator delegates to it, and returns or removes that access when the Agreement ends.
  • Aggregated data: MyAndén may use aggregated or de-identified data that does not identify the Operator, its drivers or its passengers to operate and improve its services and to describe its results in general terms.

11. Content and intellectual property

  • Platform: MyAndén owns the Platform, its software, designs, templates, know-how and improvements. The Operator receives a non-exclusive, non-transferable right to use the Platform during the subscription.
  • Operator Content: remains the Operator's property. The Operator grants MyAndén a licence to use it to build, host and operate the Operator Site and the services, and confirms that it has the rights to all Operator Content it provides (including photos).
  • Site Content: MyAndén assigns to the Operator all of its rights in the Site Content on the Go-Live Date (and, for content added later, when that content is published). MyAndén will not reuse the Site Content written for one Operator on another operator's site. MyAndén keeps its general templates, layouts, code and know-how, and may use them for other customers.
  • Publicity and results: MyAndén may name the Operator, or publish its numbers or results, only with the Operator's prior written approval of each use.
  • Feedback: MyAndén may use suggestions the Operator gives it without obligation.

12. Operator responsibilities

The Operator is solely responsible for its transportation services and its business. This includes:

  • holding and maintaining every licence, permit, registration and authority its services require (for example federal, state, county or airport for-hire, passenger-carrier or USDOT authority), together with adequate insurance;
  • its drivers and vehicles, including qualification, screening, safety, accessibility and compliance with employment and tax law;
  • its fares, quotes, taxes, refunds and cancellations, and the terms on which it serves passengers;
  • the accuracy and legality of Operator Content and of the information shown on the Operator Site;
  • giving passengers and drivers the notices and obtaining the consents the law requires for their information to be collected and used, including through the Platform;
  • its own payment accounts (such as Stripe or PayPal), which are governed by the provider's terms; and
  • reviewing and approving the legal pages on its Operator Site (for example the privacy notice, booking terms and affiliate disclosure). MyAndén may provide templates for these, but they are not legal advice.

13. Messaging to passengers

Trip emails, and any WhatsApp or SMS messages when those features are available, are sent through the Platform in the Operator's name and on its behalf. The Operator must have every consent the law requires to message its passengers, including under the Telephone Consumer Protection Act, the Florida Telephone Solicitation Act and CAN-SPAM. It must send marketing messages only to people who have agreed to receive them, and must honour opt-outs. MyAndén will process STOP and similar opt-out requests it receives, and may block messages that appear to break the law or these Terms.

14. Acceptable use

No one may use the website, the Platform or an Operator Site to:

  • break any law or regulation, or operate transportation services without the required licences or insurance;
  • send spam, or messages without the consent the law requires;
  • publish false, misleading or deceptive fares, claims or reviews, or remove required disclosures;
  • upload content that infringes someone else's rights, or that is unlawful, defamatory, discriminatory or harmful;
  • access accounts or data without authorisation, probe or break security, or overload the service;
  • reverse engineer, copy or resell the Platform, or use it to build a competing product; or
  • share credentials or driver links with people who should not have them.

15. Privacy and data protection

Our Privacy Policy explains how we handle personal information. For passenger and driver information, MyAndén processes data on the Operator's behalf under the Data Processing Addendum incorporated in the Operator's Order Form. MyAndén uses reasonable security measures. It will notify the Operator of a security breach affecting Operator Data without unreasonable delay and no later than 10 days after it determines or reasonably suspects that a breach occurred, and will cooperate with the Operator's notification obligations.

16. Third-party services

The services work with third-party services such as payment providers, partner and affiliate networks, mapping, email delivery and hosting providers. These are governed by their own terms. MyAndén is not responsible for third-party services, or for changes to them, outside its reasonable control.

17. Affiliate disclosure

MyAndén earns referral commissions from tour, activity, hotel and other partners when travellers book through links on Operator Sites, and shares part of those commissions with the Operator. This means that some links on Operator Sites, and in materials MyAndén publishes, are affiliate links. In line with the U.S. Federal Trade Commission's guidance on endorsements, every Operator Site will display a clear affiliate disclosure next to its recommendations. The Operator must not remove or obscure it. Recommendations must reflect honest opinions, and a partner's payment does not buy a recommendation.

18. Suspension

MyAndén may suspend all or part of the services if: (a) an undisputed amount stays unpaid 15 days after MyAndén gives written notice; (b) the Operator materially breaches Section 14; (c) suspension is needed to prevent a security threat or harm to others; or (d) the law requires it. MyAndén will give notice in advance where reasonably possible, will limit the suspension to what is necessary, and will restore the services promptly once the cause is resolved. During a suspension, the Operator can still export its Operator Data.

19. Termination and data handover

When the Agreement ends for any reason:

  • for 30 days the Operator can export all Operator Data, and MyAndén will provide the Operator Site's files and Site Content in a usable format;
  • MyAndén will cooperate in good faith with handing over the Operator's domain, listings and redirects, and will remove its delegated access;
  • after the export period, MyAndén will delete Operator Data within 90 days, except for copies in rolling backups (kept for up to 35 days) and records it must keep by law;
  • commission balances will be settled as set out in Section 9 and the Commission Schedule; and
  • Sections that by their nature should survive will survive, including Sections 9 (for amounts owed), 10, 11, 19 to 24 and 26.

If MyAndén decides to discontinue the Platform, it will give Operators at least 90 days' notice and the same export and handover rights.

20. Confidentiality

Each party will keep confidential the non-public information the other party shares with it, and use it only for the Agreement. This includes the Operator's rates, customer lists and booking data, and MyAndén's non-public software and commercial terms. This obligation does not apply to information that is public through no fault of the recipient, was already known to the recipient, was independently developed, or must be disclosed by law (with notice where allowed). It lasts during the Agreement and for three years afterwards, and for as long as trade secrets remain trade secrets.

21. Disclaimers

MyAndén will provide the services with reasonable skill and care. Apart from that, and to the extent the law allows, the website and services are provided "as is" and "as available", without other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose and non-infringement. MyAndén does not guarantee search rankings, traffic, bookings, revenue or commissions, or that the services will be uninterrupted or error-free.

22. Limitation of liability

To the extent the law allows:

  • neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or goodwill, even if it was told they were possible; and
  • each party's total liability arising out of or relating to the Agreement is limited to the greater of (a) the fees the Operator paid, or that were paid from its credit, in the 12 months before the event giving rise to the claim, and (b) US$5,000.

These limits do not apply to: a party's fraud, gross negligence or wilful misconduct; the Operator's obligation to pay fees; MyAndén's obligation to pay confirmed commissions owed; breach of Section 20; or the indemnities in Section 23. Website visitors who are not Operators use the website free of charge, and MyAndén's total liability to them is limited to US$100.

23. Indemnification

By the Operator. The Operator will defend and indemnify MyAndén, and its members, officers and contractors, against third-party claims, and the resulting losses and reasonable legal fees, arising from: the Operator's transportation services (including accidents, injuries, property damage, driver conduct, licensing and insurance); Operator Content; messages sent on the Operator's behalf without the consent the law requires; or the Operator's breach of law or of Section 14.

By MyAndén. MyAndén will defend and indemnify the Operator against third-party claims that the Platform or the Site Content, as provided by MyAndén, infringes that third party's U.S. intellectual property rights. This does not apply to claims caused by Operator Content, by modifications MyAndén did not make, or by combinations with items MyAndén did not provide.

Process. The indemnified party must give prompt notice of the claim and reasonable cooperation, and let the indemnifying party control the defence. No settlement may impose an obligation on the indemnified party without its consent.

24. Governing law and venue

The Agreement and these Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. The exclusive venue for any dispute is the state courts located in Miami-Dade County, Florida, or the United States District Court for the Southern District of Florida, and each party consents to their jurisdiction. Either party may seek urgent injunctive relief in any competent court. To the extent the law allows, each party waives the right to a jury trial for disputes under the Agreement.

25. Changes to these Terms

We may update these Terms. We will post the new version with a new "Last updated" date. For changes that affect Operators, we will give at least 30 days' notice by email or in the panel before they take effect. Changes to fees, to how Operator Data is handled, or to limits of liability require the Operator's express acceptance. If an Operator does not accept a change, it may cancel before the change takes effect, without charge, and the current version continues to apply until then. Changes required by law or for security may take effect sooner, with as much notice as is practical.

26. General

  • Order of precedence: if documents conflict, the Order Form prevails, then the Data Processing Addendum (for personal data), then the Commission Schedule (for commissions), then these Terms.
  • Entire agreement: the Agreement is the entire agreement about its subject and replaces prior proposals. Marketing descriptions on myanden.com summarise these terms but do not change them.
  • Assignment: neither party may assign the Agreement without consent, except that either party may assign it to a successor in a merger, reorganisation or sale of its business, with notice.
  • Notices: notices may be sent by email to the addresses in the Order Form and, for MyAndén, to .
  • Force majeure: neither party is liable for delays caused by events beyond its reasonable control.
  • Independent contractors: the parties are independent. Neither is the other's agent, partner or employer.
  • Severability and waiver: if any provision is unenforceable, the rest remains in effect. A failure to enforce a provision is not a waiver.
  • Language: these Terms are available in English and Spanish. If the two versions conflict, the English version prevails.
